Your main responsibility is to manage the tax and legal due diligence efforts including - negotiating transaction documents; this activity will involve instructing and liaising with external counsel - in various jurisdictions. - Responsibilities -
- Legal and tax support for direct and secondary investment advisors in Zug, New York, London and - Singapore in their due diligence efforts; -
- Negotiate terms and conditions for direct and secondary transactions in conjunction with the - commercial deal captain (e.g. sale and purchase and shareholders documents); -
- Assist the investment advisors in structuring and negotiating key commercial terms in transactions - and daily legal issues; -
- Instruct and manage external counsel, review and discuss their advice; -
- Support/instruction of administration department in connection with the execution of transaction - documents and settlement; -
- Over time become responsible for the management of all legal aspects of the transactions including - the necessary structuring; -
- Support tax, structuring and other legal professionals on an ad-hoc basis.

- Requirements -
- Top academic credentials in law, an additional degree in business administration and/or finance is - a plus; -
- 1-2 years work experience in corporate and commercial law, mergers and acquisitions, contractual - law or other business law categories; -
- Excellent analytical and interpersonal skills; logical thinker; able to drill down to details; -
- Excellent communication and negotiation skills; -
- Strong desire to learn and succeed; -
- Clear career vision: understanding of the firm"s business and industry; -
- Exceptional command of English is needed and fluency in German would be an advantage.
